Terms of Use

1Agreement and eligibility

These Terms govern your access to and use of Coach Anaya and related services.

By creating an account, accessing or using Coach Anaya, you agree to these Terms and the policies incorporated into them by reference.

You must be 18 years or older to use Coach Anaya at launch.

If you do not agree to these Terms, do not use Coach Anaya.

Nothing in these Terms excludes or limits consumer, privacy or other rights that cannot lawfully be excluded.

2What Coach Anaya is

Coach Anaya is a consumer wellness and behavioural coaching service focused on everyday food, nutrition, voice coaching, food and wellness logging, fasting, reminders and wellbeing support.

Coach Anaya is not a medical device, medical service, emergency service, diagnosis service or substitute for a qualified health professional.

Our Health, Nutrition & AI Disclaimer forms part of these Terms.

3Accounts and security

You are responsible for:

• providing accurate account information;
• protecting your login credentials;
• keeping your contact information current; and
• notifying us promptly if you believe your account has been accessed without permission.

You must not share or use an account in a way that defeats subscription limits, security controls, Care Circle permissions or other service safeguards.

4AI and information quality

Coach Anaya uses artificial intelligence and third-party information sources.

AI-generated responses may sometimes be incomplete, inaccurate, delayed or inappropriate for your individual circumstances. Food, ingredient and nutrition estimates may also vary.

You should verify product labels and ingredient information where safety matters and seek appropriately qualified professional advice for medical decisions.

5Health, medicines and emergencies

Do not use Coach Anaya to:

• diagnose a disease or medical condition;
• determine or change medication or dosage;
• start or stop treatment;
• interpret a clinical measurement for treatment purposes; or
• decide whether emergency medical care is required.

Medication and supplement features are intended for user-entered logging and reminders.

If you are in immediate danger or believe you have a medical emergency, contact emergency services directly. In Australia, call 000.

6Your content

You retain ownership of information and content you submit to Coach Anaya.

You give us a limited permission to host, process, reproduce, transmit and transform that content only as reasonably necessary to:

• provide and operate Coach Anaya;
• secure and improve the service;
• comply with applicable law; and
• exercise the rights described in our Privacy Policy.

This permission ends when identifiable content is deleted, except where information must lawfully be retained or has been properly de-identified so that it no longer identifies you.

You must not submit content that you do not have the right to use or unlawfully provide another person’s personal information.

7Prohibited conduct

You must not:

• use Coach Anaya unlawfully, fraudulently or to harm, harass, impersonate or exploit another person;
• attempt to bypass security or access another user’s information;
• defeat authentication, payment, subscription, credit, fair-use or safety controls;
• scrape, harvest or systematically extract Coach Anaya data, prompts, outputs, content or databases except where law expressly permits;
• reverse engineer, decompile or interfere with the service except to the limited extent that applicable law expressly allows;
• upload malicious software or interfere with service availability;
• misuse administrative functions; or
• use Coach Anaya to make high-stakes clinical or emergency decisions for another person without appropriate professional oversight.

Where misuse occurs, we may investigate, preserve relevant evidence, suspend or terminate access, report unlawful conduct where appropriate and pursue remedies available under law, including injunctive relief and damages.

8Intellectual property

Coach Anaya, including its software, branding, original content, databases, workflows, designs and service materials, is owned by or licensed to FoodRx Ventures Pty Ltd and is protected by intellectual-property law.

These Terms provide you only with a personal, limited, revocable and non-transferable right to use Coach Anaya in accordance with these Terms.

9Care Circle and Knock Knock

Care Circle and Knock Knock are optional wellbeing communication features.

They are not emergency monitoring, clinical surveillance or guaranteed delivery or response services.

10Purchases, subscriptions and credits

Paid subscriptions, credits, add-ons, feature passes and other digital purchases are governed by our Subscription, PAYG & Credits Terms and any applicable terms shown by Apple, Google or an authorised web checkout provider.

Prices, currencies and applicable taxes shown at checkout govern the transaction.

Where applicable, Founders Circle offers are also subject to the Founders Circle Offer Terms.

11Third-party services

Coach Anaya relies on third-party services including cloud hosting, artificial intelligence services, app stores, communication networks, payment systems and food or product data sources.

Their availability and policies may affect Coach Anaya.

We are not responsible for a third party’s independent service, but we remain responsible for our own obligations under applicable law.

12Service availability and changes

We may maintain, improve, modify, suspend or discontinue features for legitimate security, legal, technical or product reasons.

We will not use this provision to remove rights that cannot lawfully be excluded or materially deprive you of a paid entitlement already purchased for the current paid period without an appropriate remedy where required by law.

13Suspension and termination

We may suspend or terminate access where reasonably necessary because of:

• security concerns;
• unlawful conduct;
• fraud;
• serious misuse;
• material breach of these Terms;
• non-payment; or
• protection of users or the service.

Where practicable and safe, we will provide notice and an opportunity to address the issue.

You may stop using Coach Anaya at any time and may request deletion of your account subject to our Account Deletion & Data Retention arrangements.

14Disclaimers and liability

To the maximum extent permitted by law, Coach Anaya is provided on an “as available” basis.

We do not promise:

• uninterrupted availability;
• perfect accuracy;
• any particular health outcome; or
• that every notification, communication or escalation will always be delivered or acted upon.

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, including rights under the Australian Consumer Law.

Where liability can lawfully be limited, our liability will be limited only to the extent that is fair and reasonable in the circumstances, having regard to the nature of the service and the loss actually caused.

We do not exclude liability where doing so would be unlawful.

15Responsibility for unlawful misuse

To the extent permitted by law, you are responsible for loss directly caused by your deliberate unlawful use of Coach Anaya or material breach of these Terms.

This provision does not make you responsible for loss caused by our negligence or breach and does not remove any non-excludable consumer rights.

16Privacy

Our Privacy Policy explains how we collect, use, disclose, store and protect personal information.

17Apple and Google terms

If you obtain Coach Anaya through the Apple App Store, Apple’s Standard End User License Agreement applies to the licensed application in addition to these Terms.

If you obtain Coach Anaya through Google Play, applicable Google Play terms also apply.

Where mandatory app-store terms or applicable law give you rights that cannot lawfully be excluded, those rights prevail to the extent of any inconsistency.

18Governing law

These Terms are governed by the laws of Victoria, Australia, subject to mandatory consumer, privacy and other rights that apply where you live and cannot lawfully be excluded.

Nothing in this provision prevents a consumer from relying on a mandatory local forum or remedy available under applicable law.

19Changes to these Terms

We may update these Terms for legitimate legal, security, operational or service reasons.

Where a material change adversely affects users, we will provide reasonable notice where practicable or required by law.

Changes will not remove accrued rights or protections that cannot lawfully be excluded.
